I had a similar problem, my cure was
Back up what you need on your system, including all software, and drivers.
I then re-formated the hard disc and re-installed windows and all my software including Max and it worked
Maybe not the the best way to do it, but after un-installing Max and deleting the hidden C-dilla dir and removing c-dilla files / reg enteries by hand, that un-install leaves behind, i could not get Max to run.
Any body got a better way ?.
